TERMS AND CONDITIONS OF SALE
ORDERS
a) Any customer placing an order with us shall be deemed to have accepted our Terms and Conditions.
b) Telephoned or faxed orders must be confirmed in writing within fourteen days marked 'CONFIRMATION' otherwise thereafter these orders will be treated as separate orders and the customer will be responsible for any resulting duplication.
CANCELLATION OF ORDERS
We do not accept cancellation of goods supplied according to customer's special requirements or goods not normally stocked by us, or when manufacture or procurement of such goods has commenced or has been completed. Cancellation of an order will only be accepted if previously agreed by us in writing and will be subject to a cancellation charge.
PRICES
a) All goods will be charged at prices and discounts prevailing at the time of despatch.
b) All prices are subject to revision without notice.
c) All prices are ex-works and subject to VAT or other tariffs.
d) Special deliveries are chargeable.
e) Orders with nett value below £250.00 will be subject to a handling charge.
DELIVERY
a) Delivery dates are given as accurately as possible but are not guaranteed.
b) Delivery of goods to the carrier shall constitute delivery to the customer and thereafter such goods shall be consigned at the customer's risk. No liability for loss, partial loss, damage or non-delivery will be accepted by us.
c) Upon delivery, packages should be inspected and signed for as `not examined' but if loss or damage is apparent they should be signed for accordingly.
d) In the event of loss, partial loss, or damage during transit, the customer must immediately upon receipt, give notice in writing to the Carrier (other than on the carrier's documents) and notify us in writing. Damaged goods must be returned to us complete with all damaged parts and original packaging.
e) Any discrepancies/shortages must be reported to us verbally and in writing immediately upon receipt of the goods.
f) We do not accept any cancellation of orders or any other liability for loss which may be caused by a delay in delivery.
g) It is the customer's responsibility to ensure safe custody of goods delivered to any address,
which may be occupied by several companies.
RETURN OF GOODS
a) Goods no longer required by the customer cannot be returned unless previously agreed by us in writing.
b) Subject to inspection, a minimum of 25% re-stocking charge will apply.
GUARANTEE
Where goods supplied have been paid for in full according to our Terms of Payment :-
a) All goods manufactured or supplied by us are guaranteed only against defects arising from faulty material or workmanship, provided that the goods have not suffered any maltreatment, inattention or interference. Our liability under this guarantee is limited to only replacing or repairing defective parts as originally ordered, and we will not accept any claims for loss of profit or work done by the customer, consequential damages orother costs arising from our undertaking to replace as above.
b) Any defective goods must be returned to us promptly for inspection at no cost to ourselves. Documents clearly stating relevant invoice details, despatch details and reasons for return must be enclosed with the goods.
c) No liability will be accepted by us after 24 months from the date of despatch to the customer.
TITLE
Until full payment has been received, the goods shall remain our property. The customer must allow our agents to enter the customer's premises and to repossess the goods at anytime, or if the goods are with a third party by direction from the customer, the customer shall remove the goods from such premises and return them to us.
PAYMENT TERMS
a) All invoices are nett and no settlement discount is allowed.
b) Accounts are payable by the 30th day of the month following the date of the invoice
c) Special terms of payment will be confirmed in writing by us.
d) Overdue accounts will be subject to 'Late Payments & Interest Compensation'
according to to current legislation. We will charge additional costs incurred on all overdue accounts and will withhold further deliveries until all accounts are settled in full.
e) We reserve the right at any time to withdraw credit facilities if the customer fails to comply with the conditions of sale.
JURISDICTION
In the event of a conflict, these Terms and Conditions of sale shall prevail. This contract shall be governed and construed in all respects in accordance with English Law.
We reserve the right to make changes without notice. Specifications given here and in our catalogues or other documents are for guidance purposes only and are not guaranteed to be absolutely correct.
